A DIC Corporation<\/a> foi fundada em 1908 para produzir e vender tintas de impress\u00e3o. Desde ent\u00e3o, a empresa passou a diversificar seus neg\u00f3cios em atividades correlatas em setores como pigmentos org\u00e2nicos e resinas sint\u00e9ticas.<\/p>\n\n\n\n

Com mais de 170 subsidi\u00e1rias, o grupo tem neg\u00f3cios em mais de 60 pa\u00edses ao redor do mundo, e suas vendas para fora do Jap\u00e3o representavam, j\u00e1 em 2017, mais de 60% do faturamento.<\/p><\/blockquote><\/figure>\n\n\n\n

Estima-se que o grupo DIC (propriet\u00e1ria da Sun Chemical<\/a>) possua uma participa\u00e7\u00e3o de mercado em tintas de impress\u00e3o na ordem de 30% a 35%, embora tintas de impress\u00e3o representem, ano ap\u00f3s ano, parte menos relevante no lucro auferido (em meados de 2018, j\u00e1 se falava em 30% dos lucros).<\/p>\n\n\n\n

\"N\u00e3o<\/a><\/figure>\n\n\n\n

Esta semana a Comiss\u00e3o Europeia<\/a> autorizou, sobre a \u00e9gide da legisla\u00e7\u00e3o de fus\u00f5es da Uni\u00e3o Europ\u00e9ia, a proposta de aquisi\u00e7\u00e3o da Basf Colors & Effects<\/a> pela DIC Corporation<\/a>. Dentre as cl\u00e1usulas do acordo estaria o desinvestimento, por parte da DIC, da principal planta de produ\u00e7\u00e3o de pigmentos como forma de preservar a competi\u00e7\u00e3o no mercado.<\/p>\n\n\n\n

BASF e DIC s\u00e3o duas empresas l\u00edderes de mercado na produ\u00e7\u00e3o e comercializa\u00e7\u00e3o de pigmentos e corantes. Em um certo n\u00famero de categorias de pigmentos, elas s\u00e3o as duas empresas l\u00edderes em n\u00edvel global, inclusive.<\/p><\/blockquote><\/figure>\n\n\n\n

Embora o processo de an\u00e1lise de uma fus\u00e3o desta envergadura seja espinhoso, com grande possibilidade de fomentar ou refor\u00e7ar o monop\u00f3lio em uma dada categoria de produtos – ao nosso ver, temas como a influ\u00eancia asi\u00e1tica nos \u00faltimos anos no \u00e2mbito da ind\u00fastria de pigmentos, os custos associados \u00e0 troca de fornecedor aos usu\u00e1rios destes produtos, a qualidade e confiabilidade (sob judice) e a dificuldade de se competir em virtude de pr\u00e1ticas comerciais predat\u00f3rias – criou o ambiente favor\u00e1vel para, em pouco menos de dois anos, a coisa de fato acontecer.<\/p>\n\n\n\n

O pre\u00e7o de compra na base “cash and debt-free” ser\u00e1 de \u20ac1.15 bilh\u00e3o.<\/p><\/blockquote><\/figure>\n\n\n\n

A DIC \u00e9 uma companhia japonesa listada na bolsa de T\u00f3quio, com cerca de 20 mil colaboradores em todo o mundo. Espera-se que ela venha a faturar por volta de \u20ac8 bilh\u00f5es at\u00e9 2025.<\/p>\n\n\n\n

O neg\u00f3cio de pigmentos da BASF, por sua vez, emprega cerca de 2600 colaboradores e gerou uma receita de vendas em 2018 na ordem de \u20ac1 bilh\u00e3o.<\/p><\/blockquote><\/figure>\n\n\n\n
